Commercial use: Member schools, sanctioned officials associations or vendors wishing to display, reproduce or otherwise use FHSAA artwork in a commercial manner must contact the FHSAA Office to obtain the necessary licensing paperwork. For more information, e-mail licensing@fhsaa.org.

ESSENTIAL INFORMATION PLEASE READ THE FOLLOWING TERMS AND CONDITIONS. YOUR ACCEPTANCE OF THESE TERMS IS AN ABSOLUTE CONDITION OF YOUR USE OF THIS PRODUCT. FHSAA Artwork Non-Commercial License Agreement 1. The following terms and conditions ("Terms & Conditions") govern your use of Florida High School Athletic Association artwork (the “Artwork") and form a legal agreement (“Agreement”) between you, your company or organization, and your employer, as the case may be, (collectively "You") and the Florida High School Athletic Association, Inc. (“FHSAA”). You are required to read this Agreement and accept all of its provisions before you may download any image from the web site. By downloading the Artwork you acknowledge this Agreement and conform to the Terms and Conditions provided. If you do not agree with these Terms and Conditions, please do not download the Artwork. 2. All Artwork contained on this web site are original graphics designed by the FHSAA and are protected under copyright. This Agreement applies to any Artwork file on FHSAA.org, whether an Association mark, generic sport logo, FHSAA Finals event logo or special recognition program logo. 3. This is a one (1) person restricted non-commercial license. FHSAA licenses to you the use of the Artwork only as provided below on a non-exclusive and non-transferable basis. Any additional persons who wish to use the Artwork must download it from FHSAA. All other rights to the Artwork, including without limitation, copyright and all other rights, are retained by FHSAA. 4. What you may do with the Artwork: (a) You may copy or archive the Artwork as necessary for internal use, and only as necessary for that use. Any copy or archive you make must include the Artwork’s copyright information. (b) You may use the Artwork in any electronic or print media, including advertising and editorial use, relative to the advertisement or coverage of a specific high school athletic event or high school athletics in general. (c) You may use the Artwork for the promotion (i.e., posters, flyers, handbills, web sites, etc.) of a specific high school athletic event or high school athletics in general. (d) You may use the Artwork for souvenir programs that are being produced for sale, resale or complimentary distribution in conjunction with a specific high school athletic event. (e) You may use the Artwork to create signs or banners for display in a member school athletic facility. (f) You may convey to a third party (such as a printer) as a normal course of workflow temporary copies of the Artwork that are integral to your work product and without which the product could not be completed. 5. What you may not do with the Artwork: (a) You may not transfer the rights to the Artwork, except as specifically provided for elsewhere in this Agreement. All other rights are reserved by FHSAA. (b) You may not use the use the Artwork for any items of consumer merchandise (including but not limited to apparel, novelties, electronics, etc.), whether produced for sale, resale or complimentary distribution, except as specifically provided for in sub-paragraph 4(d). (c) You may not modify, alter, reverse engineer, decompile or disassemble any part of the Artwork, subject to applicable law. (d) You may not copy or reproduce the Artwork, except as specifically provided for in paragraph 3. (e) You may not remove any copyright or trademark from any place where it appears on the Artwork. (f) You may not use the Artwork in any way that could be considered defamatory, libelous, pornographic, obscene, immoral or fraudulent; as part of any advertisement, endorsement or promotion for any business, product or service; or as part of a trademark, service mark or logo. FHSAA retains the full rights to the Artwork and, therefore, you cannot establish your own rights over any part of it. (g) You may not re-sell, distribute or sub-license the Artwork, or the rights to use the Artwork, to anyone for any purpose, except as specifically provided for elsewhere in this Agreement. It also is prohibited to use the Artwork in a product whereby the purchaser, recipient or licensee of that product can then use the Artwork for its own purposes. (h) You may not use the Artwork on any media (including web sites) that promote the distribution of the Artwork. This means that, while you may display the Artwork on a web site to enhance the appearance of its design, you may not invite other users to download and use the Artwork, nor display the Artwork in a manner that suggests it is part of a clip-art collection. 6. You shall use your best endeavors to prevent misuse or unauthorized downloading, duplicating, copying or pirating of the Artwork. If you become aware of any such misuse or infringement, you shall immediately inform FHSAA and take appropriate action in consultation with FHSAA. If you refuse or neglect to take such action in respect of such misuse or infringement, FHSAA can take such steps as it considers necessary to deal with the matter, including without limitation bringing proceedings in joint names and you agree (at FHSAA cost) to provide all reasonable assistance. 7. This License is effective until it is terminated. You can terminate this license by destroying the Artwork, along with any copies or archives of it, and ceasing to use the Artwork for any purpose. The license also terminates if at any time you fail to comply with the terms of this Agreement. If this happens, you hereby agree to destroy all copies and archives of the Artwork, to cease using the Artwork for any purpose, and to confirm to FHSAA in writing that you have complied with these requirements. 8. FHSAA provides the Artwork in good faith and gives no guarantee that the Artwork will always function as intended or meet your requirements, or that it will be free from infection by viruses. Use of the Artwork is at your sole risk. The Artwork is provided on an “as is”, “as available” basis without representations, warranties or conditions of any kind, either express or implied, including but not limited to representations, warranties or conditions of title or implied warranties or conditions of merchantability or fitness for a particular purpose. 9. To the maximum extent permitted by law, in no event will FHSAA be liable for any indirect, punitive, incidental, special or consequential damages, whether foreseeable or unforeseeable, based on claims (including, but not limited to, claims for damages for loss of profits or loss of business opportunities, delay or inability to use the Artwork, mistakes, omissions, interruptions, deletion or corruption of files, errors, defects, delays in preparations or transmissions) arising out of or in any way connected with the use of the Artwork whether based on contract, tort, strict liability or otherwise. The entire risk as to the quality and performance of the Artwork is with you. 10. You agree to indemnify and hold FHSAA, its affiliates and agents, and its and their respective directors, officers, agents and employees from any and all claims, liabilities, damages, demands, losses or expenses, whether direct, indirect, consequential or incidental, arising out of or in connection with: your use of the Artwork; your breach of the Terms and Conditions; your breach of the License; or any act or omission by you which results in: (a) loss, damage, interference with or disruption to, the web site; (b) use of the web site for any illegal purpose; or (c) use of the web site to achieve any unauthorized or prohibited access to computer systems and data. 11. This Agreement and any disputes arising out of or related to it shall be governed by, and construed and enforced in accordance with, the laws of the State of Florida and the United States of America. If FHSAA is obligated to go to court to enforce any of its rights, you agree to reimburse FHSAA for its legal fees, costs and disbursements if FHSAA is successful. 12. If any provision of this Agreement violates the law of the applicable jurisdiction and is unenforceable, that provision will be severed and the balance of this Agreement will remain in force. 13. FHSAA reserves the right to replace the Artwork with an alternative at any time for any reason without prior notice. Upon notice of such replacement, the license for the replaced Artwork terminates for any products that do not already exist, and this license automatically applies to the replacement Artwork. You agree not to use the replaced Artwork for future products and to take all reasonable steps to discontinue use of the replaced Artwork in products that already exist. 14. FHSAA reserves the right to change the Terms and Conditions at any time without prior notice. Your continued access or use of the Artwork that appears on the web site after such changes indicates your acceptance of the Terms and Conditions as modified. It is your responsibility to review the Terms and Conditions regularly. The Terms and Conditions were last updated on October 11, 2003. 15. You acknowledge that you have read this Agreement, understand it, and agree to be bound by its Terms and Conditions. You further agree that it is the complete and exclusive statement of the Agreement between you and FHSAA, which supersedes any proposal or prior agreement, oral or written, and any other communication between you and FHSAA relating to the subject of this Agreement.
